STANDARD TERMS AND CONDITIONS OF SALE

1. Introduction

Welcome to Solutions Unity Company for Information Technology ("Solutions Unity"). By accessing or using our services, you agree to be bound by the following terms and conditions. These terms apply to all services offered by Solutions Unity, including but not limited to Odoo ERP solutions, digital transformation services, design & identity solutions, managed IT services, product development, and IT consultancy.

2. Services

Solutions Unity provides a range of IT services as detailed on our website. Each service is tailored to meet the specific needs of our clients, and we strive to deliver high-quality solutions that align with our clients' business objectives. The scope, deliverables, timelines, and fees for each service will be outlined in a separate agreement or project plan, which must be approved by both parties before work begins.

3. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for the successful delivery of our services. This includes, but is not limited to, access to relevant systems, data, and personnel. Any delays or additional costs resulting from the client's failure to provide required information in a timely manner will be the client's responsibility.

4. Payment Terms

Payment terms will be specified in the individual service agreement. Solutions Unity typically requires a deposit before commencing work, with the remaining balance due upon completion or at agreed milestones. All payments must be made within the agreed timeframe. Late payments may incur additional fees or interest.

5. Confidentiality

Both Solutions Unity and the client agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This obligation extends beyond the completion of the project and remains in effect until such information becomes publicly available through no fault of either party.

6. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights related to the services provided by Solutions Unity remain the property of Solutions Unity. Upon full payment of all fees, the client will be granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose. Any use of the deliverables beyond the scope of the project must be approved by Solutions Unity in writing.

7. Warranties and Disclaimers

Solutions Unity warrants that all services will be provided with reasonable care and skill. However, Solutions Unity does not guarantee that the services will be error-free or that the results will meet the client’s specific requirements. Solutions Unity is not responsible for any indirect, incidental, or consequential damages arising from the use of our services.

8. Limitation of Liability

Solutions Unity's liability for any claim arising from the provision of services is limited to the amount paid by the client for those services. Solutions Unity will not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data.

9. Termination

Either party may terminate the agreement at any time with written notice. If the client terminates the agreement, they will be responsible for payment of all work completed up to the date of termination, including any non-cancellable commitments made by Solutions Unity on behalf of the client.

10. Force Majeure

Solutions Unity will not be held liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, strikes, or other unforeseen events.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which Solutions Unity operates. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Changes to Terms

Solutions Unity reserves the right to update or modify these terms and conditions at any time. Any changes will be effective immediately upon posting on our website. It is the client's responsibility to review these terms periodically.
